Terms of Service

Effective: 1 January 2025

These Terms of Service (“Terms”) govern your use of Proposal Panda, a product of Oris Intelligence Private Limited (“we”, “us”, “our”). By accessing or using Proposal Panda you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of your organisation to use Proposal Panda.

2. Description of Service

Proposal Panda is an AI-powered proposal drafting and bid management platform. We provide tools to analyse RFPs, generate draft proposals, check compliance, and share proposals via Panda-Links. The AI-generated content is a starting point for your own proposals — it is not a legal opinion, financial advice, or guarantee of any outcome.

3. Accounts and Access

  • Authentication is managed by ORIS Identity. You are responsible for all activity under your account.
  • You must not share credentials or allow unauthorised access to your account.
  • We may suspend accounts that violate these Terms or pose a security risk.

4. Acceptable Use

You must not:

  • Use the service to generate misleading, fraudulent, or illegal content.
  • Attempt to reverse-engineer, scrape, or extract the AI model or platform infrastructure.
  • Upload malware or content that violates third-party intellectual property rights.
  • Circumvent usage quotas or billing controls.
  • Inject adversarial prompts into the Knowledge Vault to manipulate AI output for other users.

5. Subscription and Billing

  • Plans (Free, Pro, Team) are billed as described on the Pricing page. Prices are in USD and exclusive of applicable taxes.
  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Refunds are available within 7 days of initial purchase if you have not exceeded the plan’s quota.

6. Content and Intellectual Property

You retain all rights to the proposal content you create. By uploading RFP documents and past proposals to the Knowledge Vault, you grant us a limited licence to process that content solely to operate the service for your account. We do not use your content to train AI models for third parties.

7. Disclaimer

The platform is provided “as is”. AI-generated proposals are drafts for your review — they may contain errors. We do not warrant that any proposal will win a bid. Nothing in the platform constitutes legal, financial, or professional advice.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is limited to the fees paid by you in the 3 months preceding the claim.

9. Termination

You may cancel your account at any time from the Billing page. We may terminate accounts for material breach of these Terms with 7 days notice (or immediately for security incidents).

10. Governing Law

These Terms are governed by the laws of India. Disputes shall be resolved in the courts of Bengaluru, Karnataka.

11. Changes

We may update these Terms. Continued use after changes take effect constitutes acceptance. Material changes will be notified 14 days in advance.
